Bankers and lawyers have been reading the draft listing prospectus of China Conch Venture with great interest this month.self storage What everyone is wondering is how can it list and cash in from the same asset twice.The asset at stake is Asia’s largest cement producer, Anhui Conch Cement, which has been listed in Hong Kong since 1997. Its management is seeking to list its 17.7 per cent control through Conch Venture. You can call it a “reverse spin-off” – which is rare, if not unprecedented.“If this can be done, I am sure my boss would love to follow suit and list his holding again,” said the company secretary of a listed private enterprise who has rung up a lawyer to study the case.It is controversial because the listing rules state that “it would not be acceptable to the Listing Committee that one business supported two listing statuses”.To be fair, Conch Venture has its own operating business other than Conch Cement. It has some cement-related business such as residual heat power generation and waste incineration as well as a port and a hotel. Its operating business is big enough to satisfy the listing requirements on revenue and profit.Yet, Conch Venture is dependent on Conch Cement, information provided in the draft prospectus shows. In the first six months of this year, Conch Cement contributed more than 77 per cent of Conch Venture’s profit and about 70 per cent of its assets.Its operating business got 55 per cent of its sales from Conch Cement during the same period.Its management admitted its major business – residual heat power generation – had dived 66 per cent between 2010 and June this year because the market was already saturated in 2011.Yet, Conch Venture argued that Conch Cement is independent from it. The latter is only included as an investment in an associate company in its financial statements because it holds only 17.7 per cent and has no control over it. There is a reason for it. If Conch Cement is considered a subsidiary over which it has control, its numbers will be consolidated into Conch Venture’s financial accounts and the regulator would question whether the same asset is being listed twice.How Conch Venture can claim it has no control over the cement producer is puzzling. It is the second-largest shareholder of Conch Cement and its chairman, Guo Jingbin, is an executive director of Conch Cement. Among Conch Venture’s controlling shareholders, holding 23.6 per cent, are many of Conch Cement’s current and former managers迷利倉 They are Conch Cement’s chairman Guo Wensan, executive director Guo Jingbin, the spouse of executive director Zhang Mingjing, and former director and chief executive Ji Qinying, who resigned last month to join Conch Venture’s board.On what basis the regulators accepted Conch Venture’s argument is anybody’s guess. It is certainly no easy task. The big question is why bother when they are already holding stakes in Conch Cement.They do not have much choice. Their holding is illiquid in reality. Getting their stakes listed in Hong Kong through a separate entity is the only door to cashing in.That may be a bit difficult for most investors to understand. One needs to know the history. In 1997, Anhui’s government was the only controlling shareholder of Conch Cement. In 2003, it decided to make the management and some employees the second-largest shareholder.Back then, the sale of state shares remained a taboo, so it was done on the quiet. Instead of getting share options or shares, the management received 49 per cent of the holding company of Conch Cement. Thanks to the mainland’s building spree, Conch Cement’s profit soared. So did its share price. The management has gained little, though, because its stake – classified as a state stake – was not listed or tradeable.It made various unsuccessful attempts to cash in. In 2005, it tried to sell 14.3 per cent of Conch Cement to a Morgan Stanley-led consortium. The deal lapsed after two years, failing to get the approval of the National Development and Reform Commission.In 2006, it spent a fortune to get the approval of mainland minority shareholders and regulators to turn its shares into tradeable stocks in Shanghai. The shares became freely tradeable stocks in 2010 but mainland regulators were concerned that the unloading of controlling state stakes would drive the market further down. No unloading happened.Listing the stake – worth more than HK$20 billion – in Hong Kong is the only way out. To minimise interventions from the mainland authorities, the management has chosen to list the stake through an overseas company instead of a mainland firm. In order to do so, some of Conch Cement’s former managers, including Ji, have become permanent residents of Guinea-Bissau, a small West African state.A source close to the management denied the listing was being done for the purpose of cashing in, noting that it was not going to unload at the initial public offering.What would you say?shirley.yam@scmp.com迷你倉

“大數據”把每一個人都變成“俘虜”
一旦把那種挖掘大數據的處理運用在門戶網站的新聞資訊里,迷利倉來設定我們的議程,那帶給社會的前景將是非常可怕的。□郭宇寬 學者最近有一件事情讓我感到很恐懼:前段時間我想在網上買些大閘蟹吃,用百度隨意搜索了一下就買了,僅此而已。之後漸漸覺得不對勁,每次打開電腦,無論是瀏覽什麼網站,頁面上廣告欄的位置都是向我推送大閘蟹的廣告。甚至有一次讓我感到更加恐懼的是,在我瀏覽新聞時,我感覺裡面涉及大閘蟹內容的新聞特別多,這讓我警覺,通過網絡途徑要看的資訊受到了一種背後力量的控制。我是非常積極主動的信息獲取者,並不習慣于別人把他們認為適合我的新聞給我,我願意自己去找自己想看的資訊。但是大數據的實踐,使一股看不見的力量為我們每天接觸的資訊進行了議程設置。大數據,即現在的互聯網技術,可以不經過抽樣,能夠把所有人各方面的信息加以分析,然後直接向每一位消費者進行推送,就像我之前在網上搜索了一下大閘蟹,結果就被背後看不見的手設定為大閘蟹的愛好者,不斷地把大閘蟹相關的信息推送到我的頁面上。我還有類似的經歷,有一次在網上搜索紫砂壺,之後也是在各個地方都會推送關於紫砂壺的廣告。這個信息如果僅僅用在消費品領域的大數據,可能還不算危險,一旦把這種挖掘大數據的處理運用在門戶網站的新聞資訊里,來設定我們的議程,那帶給社會的前景將是非常可怕的。小說《1984》講的是主人公生活在被老大哥處處監視的集權恐怖的社會,在這本小說里所具有的想象力——無處不在的“老大哥”在看著你,還沒有這麼具體的用互聯網大數據的形式表現出來。而在互聯網的大數據運作下,每一個人在互聯網上的操作習慣都被完整迷你倉記錄下來,這才是真正一個老大哥無處不在的互聯網世界,我感到不寒而慄,這讓我想起了袁世凱當年的經歷。袁世凱早年的經歷一直是韜光養晦,非常具有智慧,懂得審時度勢和政治分寸的一個人,我細讀歷史,很佩服這個人,但他一輩子幹的最愚蠢的一件事情,也可以說幾乎是唯一一件愚蠢到低級的事情就是稱帝,稱帝之後引起了激憤的社會情緒洶洶而來,也把他自己給氣死了。他這麼一個聰明的人為什麼會想起這麼一個不是天下大勢的昏招呢?就是因為他所獲取信息的資源被他身邊的人所操控。有一個說法是袁世凱非常愛看一份報紙——《順天時報》,而《順天時報》每天發的社評都是批評袁世凱稱帝之說。但是他的大兒子為了鼓動他稱帝,讓身邊的人印了一份專門給袁一個人看的《順天時報》,當時輿論都不讚成袁總統稱帝,希望他學華盛頓,而這份報紙上專門鼓吹各界人士都擁戴他應該稱帝。袁世凱正是被身邊的人提供給他的資訊蒙蔽了判斷,最後作出了愚蠢決定。過去,印刷機時代給袁世凱專門印一份迎合他口味的報紙需要花很大的成本。而今天通過互聯網專門給每一個互聯網用戶推送他愛看的、或者是互聯網運營者覺得用戶應該愛看的想看的資訊,成本已經非常低廉。專揀你愛看的給你看,專揀你愛聽的話跟你說,這會產生一種使用戶的視野更加狹隘、使每一個人的觀念和傾向乃至偏見被自我強化的一種認識。在大數據被當做高科技進步的事物加以鼓吹、提倡的時代,想保持自己清醒獨立頭腦的人要特別警惕,哪怕是再聰明的人,在今天都有像袁世凱一樣被互聯網所俘虜、被圍繞在自己身邊的一些議程設置所蒙蔽,而不能作出明智判斷的可能。這個前景讓我不寒而慄,好在我自己還有警覺。自存倉

It is expected to qualify for a $5,000 carbon rebate when it is launched here early next year.BEAUTIFUL CARS EVOKE STRONG EMOTIONSThe first scientific experiment of its kind has revealed that beautiful car designs can evoke a powerful range of emotions. Conducted by Volvo Cars in collaboration with British brain activity specialists Myndplay, the test required participants to rate a series of images whilst wearing a brain sensor headset that measured brainwave activity. The images included the new Volvo Concept Coupe, alongside perceived bad and outdated car designs, visuals of happy and crying babies and men and women considered to be beautiful.Men experienced more emotion while looking at images of beautiful cars than they did looking at a crying child. Women displayed an emotional intensity to the picture of a crying baby which almost doubled that of male participants. Almost three- quarters of men claimed that good design made them feel positive, while only one-third of women rated images of car design higher than an image of an attractive man.ELECTRIC RACER SUCCESSFULLY TESTEDThe fully electric Spark-Renault SRT_01E has completed a successful test run at the La Ferte Gaucher circuit near Choisy-le-Roi, France. The single- seater, built by French-based Spark Racing Technology and a consortium of leading manufacturers in motorsports, completed about 40 laps over two days. For the test, the car was fitted with a 50kW battery - a quarter of the maximum 200kW power (270bhp equivalent) the final car will produce.The SRT_01E will compete in the inaugural FIA Formula E Championship, the world's first international electric race series beginning in September next year. Its chassis was constructed by Dallara, with McLaren Electronics Systems providing the electric motor, gearbox and electronics, Williams Advanced Engineering the batteries, Renault the overall systems integration, and Michelin the tyres.VOLVO IN 儲存ELF-DRIVING PILOT PROJECTVolvo Cars will take part in the world's first large-scale autonomous driving pilot project in which 100 self-driving Volvos will ply public roads in the Swedish city of Gothenburg by 2017. He headed the Singapore office from 2011.ELECTROMAGNETIC WAVES STOP CARSA British company has demonstrated a prototype device that can stop moving vehicles with a blast of electromagnetic waves. The RF Safe-Stop uses radio frequency pulses to confuse a vehicle's electronic systems, hence forcing the engine to shut down. E2V is one of several companies trying to bring such a product to market. BBC reported that the primary use would be as a non-lethal weapon for the military. Mercedes-Benz's latest limo is luxurious, comfortable, swift and relatively greenIt appears Mercedes-Benz has done all that it can in the engineering department to make its S-class a comfortable limousine.儲存Which is probably why its latest flagship boasts an arsenal of electronics, exquisite materials and cushioned headrests that will knock out an insomniac.Electronics include Magic Body Control, which scans changes in road contour ahead and adjusts its suspension to cancel out any lumpiness in the tarmac.And adaptive cruise control with semi-autonomous steering, which works best in the slow stop-start crawl you often find yourself in during peak hours.Both of these are not standard fitment in the S400L Hybrid test-driven here. Not that the car needs them.The new S-class, like the previous one, has a superb air suspension system. Cocooned in its well-insulated cabin, you feel nothing but the nastiest of bumps.Despite being comfort-biased, the set-up is adequate around corners.The cabin is slightly roomier than before, even though the car's wheelbase remains unchanged at 3,165mm. The boot is smaller though.The doors stay in place at any angle, even when opened on a slope. As before, they come with motorised soft closing.Aesthetically, the interior is up there with the best. In some ways, such as the interplay of wood and chrome on the fascia, the car is even more delightful than some Bentleys and Rolls-Royces.A large multi-function colour monitor, which offers navigation and a 360-degree camera, makes piloting and parking the limo a cinch. In addition, the car comes with proximity beepers and an LED strip that let you know how close you are to an object.If you still find it a chore to park, let the Active Parking Assist take over.Incidentally, the ca迷你倉 is illuminated entirely by LEDs - about 110 in the headlamps, 70 in the tail lights and the rest in the cabin. At night, the mood lighting makes the cabin even more luxurious.But the biggest improvement lies with the seats. They are cleverly contoured, perfectly padded and come with the most comfortable headrests ever. Pay a bit more and the seats can be clad in soft Nappa leather. Ditto, if you want seats with massage function or reclining rear seats.You would also have to pay more for the panoramic sunroof, Burmester hi-fi, AMG kit and wood-and- leather steering wheel.Hence compared with the S500L, the S400L is a tad austere. What it offers, though, is a petrol- electric drivetrain that qualifies the buyer for a $5,000 carbon rebate.This is based on the manufacturer-declared efficiency of the car. At 6.8 litres/100km, the 3.5-litre S400L is less thirsty than a 2-litre Japanese sedan. Supposedly. During the test-drive, the best it managed was 17 litres/100km.The car can be driven on pure electric mode, but only with a feathery right foot and when its lithium batteries are adequately charged.The drivetrain is pretty refined, with hardly any hybrid idiosyncracies such as stodgy brake pedal and retarded take-off. In fact, the S400L flies to 100kmh in 6.8 seconds - very quick for a big car.But the car occasionally betrays a wee bit of shift shock when it downshifts, and has squeaky wipers and a rear centre divider with clunky free play when folded away.These are minor, but then again, you would not find them in, say, a Lexus LS.Be that as it may, the S-class has a loyal following. Many buyers hand over cheques without even bothering to check out the car.On the whole, most will not be disappointed when they finally get their wheels.christan@sph.com.sg儲存倉

國務院港澳事務辦公室主任王光亞昨日出席「全國港澳研究會」成立大會並致辭,迷你倉將軍澳他於會後表示,香港特區政府已經啟動政改的公眾諮詢,亦預留較長時間讓公眾表達意見,相信只要本港各界以理性態度討論政改,一定能夠達成共識。他並於昨日下午與眾多港澳學者會面長達三個小時,仔細聽取了每位學者反映的意見。本報記者張媞李理實習記者孫琳王光亞昨天上午向在「全國港澳研究會」成立大會場外等候的本港傳媒表示,特區政府已經啟動了政改的公眾諮詢,亦預留較長時間讓公眾表達意見,他相信本港各界能夠對所關心的政改議題,進行理性的思考與溝通,他強調, 「相信只要大家理性,一定可以達成共識。」他於下午再與38位研究會的港澳成員進行了長達三個小時的會面,據了解,每一位港澳成員均就關心的問題發言10分鐘,話題涉及經濟、政治、教育等各個領域,王光亞全程耐心聆聽。與港澳學者會面3小時新當選副會長之一的前中央政策組首席顧問劉兆佳表示,王光亞在會上未有就政改問題發表意見,但王光亞承諾,會將意見歸類和消化,作為中央政府將來政策部署的參考。劉兆佳還表示,會上的討論大部分圍繞政治、經濟、建制、教育、青少年、兩地合作,基本沒有人提及本港政改問題。他說,發言的學者或悲觀或樂觀,均得到機會各抒己見,並充分發表自己的多元看法。而王光亞並無就議題詳細評論,但有將議題分類,例如迷你倉尖沙咀央可以協助香港的經濟問題,而港人人心回歸、社會矛盾、本土主義,以及媒體針對特區及中央政府等,由香港自行反思,另外部分議題由港府處理。研究會顧問劉迺強會面後向本報表示,王光亞全程並無講話,而是用心聽取了每一位學者暢所欲言,會面氣氛良好。他續謂,幾乎沒有學者談及本港政改的問題,而是多集中討論如何發展經濟。教聯會副主席鄧飛表示,與會的經濟學者皆表示關注本港經濟發展停滯不前的問題,亦就旅遊、航運、住房等方面提出一些公眾較為「耳熟能詳」的意見和建議,包括在內地找地解決本港住房難,增加內地與香港之間的融合等問題。而非來自經濟背景的學者,則多發表除了政改以外的問題,包括政府如何做好政治游說,增加政治技巧,爭取市民更容易接受合理的政策等。他亦表示,席間有數位學者提及本港的教育問題,希望關注青少年現時反政府情緒有所提升,呼籲政府多培養政治及專業人才,以應對未來的各方面政策的諮詢工作。他本人則關注本港的傳媒生態,建議研究會吸納媒體方面的專家和前線記者。學者各抒己見反映實情亦有學者向本報透露,王光亞形容與很多學者的交談機會並不多而非常珍惜今次的會面,學者都「講出真正的香港社會情況」。該學者表示,今次會面「無人擦鞋」, 「反而有人慷慨激昂地評論香港的情況」,並表示希望「全國港澳研究會」對本港歷史多加研究,掌握港人的文化和情懷。mini storage

(美國 華盛頓6日電)美國財政部長傑克盧(Jack Lew)警告,儲存如果國際監管機構不能對全球銀行持同樣的高標準,美國旨在終結銀行“大到不能倒”問題的金融改革將會功虧一簣。美國聯邦存款保險機構(FDIC)正在擬定計劃,目的是能夠在不損害金融體系其他部份的情況下,關閉瀕臨倒閉的美國銀行。然而,對於其他國家會否認可這些舉措以及國外法規會否與之相容,有人仍存在疑問。傑克盧警告,“現在不能作出妥善安排,將為我們金融體系帶來顯著的未來風險”。傑克盧表示,新近完成的沃爾克規則(Volcker rule)(這個禁止開展自營交易的法規將於下週由監管者投票表決),加上更高的資本金和流動性要求,以及清盤經營失敗銀行的計劃,已經使金融體系更安全、更穩健。他表示,奧巴馬政府將全力確保世界其他地區也阻止危險的金融行為。在公共政策研迷你倉機構——皮尤慈善信托基金會(Pew Charitable Trusts)發表的講話中,傑克盧表示:“我們希望全球出現一場向上比的競賽。讓我明確這一點:我們將敦促包括歐洲和亞洲在內的其他司法管轄區出台與我們相稱的嚴格標準。”歐盟專員:歐法規更嚴格然而,歐盟內部市場專員巴尼耶(Michel Barnier)表示,歐洲的法規“十分嚴格,往往與美國的法規差不多。在有的方面,歐洲的法規甚至更嚴格一些”。另外,他還淡化了歐美間你追我趕的必要性,稱美國和歐洲沒必要相互說教,也沒必要相互學習。在美國,商品期貨交易委員會(CFTC)已制定了影響深遠的規則,對衍生品市場進行監督。然而這一舉措受到了歐洲和亞洲監管機構的嚴厲批評,稱這些規則管得太寬並缺乏協作。週三,3家華爾街交易集團就CFTC制定的跨境掉期規則對該機構提起訴訟。;儲存倉
